I can't get my head around how it all works, and need to register a company name at Companies House but stuff like:

Class of share?
Number of shares?
Amount paid up on each share?
Amount unpaid on each share?
Aggregate nominal value?

Is confusing, how do I know if it's better to have 100 or 1000 shares?
What's paid up/unpaid relate to?

Would very much appreciate any tips.. Karma

Number of shares? Doesn't matter, you can increase it at any point in the future. Just go for 1 if you are going to be the sole shareholder
Amount paid up on each share?Just say fully paid
Amount unpaid on each share?nil
Aggregate nominal value? This is the total face value of the shares. If you issue 1 share with a face value of 1p, this number is 1p. If you issue 5,347 shares which each have a face value of £3.86, then the answer is £20,639.42

Is confusing, how do I know if it's better to have 100 or 1000 shares? The more shares you have, the more shareholders you can have. That is the only point.
What's paid up/unpaid relate to? You can issue shares, but not have them subscribed/paid for, hence unpaid. In small business terms, it is largely pointless/

As above, class of shares wants to be ordinary.

As for the number of shares, i found it easier to have 1 share per director / Shareholder - i.e if the company is being set up by you and 2x mates, have 3x shares in the company - 1 each @ £1.00 each. its really more of a paperwork exercize for a new / small company.

Any particular reason you can't operate as a sole trader/partnership?

And remember - even if it's a dormant (non trading) company you will still have to file an annual return or face late filing penalties.

Agree with the above, except it's worthwhile setting the initial shares at a bigger number as it makes you more flexible in future.

If in a years time you have more directors and even some standard shareholders you will require votes and other stupidity to increase the number of shares.

In a year's time the business will have been closed for 9 months.
